CNCCC International Tendering Co., Ltd. (hereinafter referred to as “the Tendering Agent”), entrusted by CNOOC and Shell Petrochemicals Company Limited (hereinafter referred to as“Tenderee”), intends to purchase the Goods and the relevant services required under CSPC Huizhou Polycarbonate Project by International Competitive Bidding. Bidders are kindly requested to provide the following Goods and services with sealed bids.

Project Summary：CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Polycarbonate Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

3. 對投標(biāo)人的資格和業(yè)績要求：

（1）資格要求

A．如果投標(biāo)人為境內(nèi)注冊公司，投標(biāo)人需提供合法有效的企業(yè)法人營業(yè)執(zhí)照、稅務(wù)登記證及組織機構(gòu)代碼證或證照合一的營業(yè)執(zhí)照，投標(biāo)時需提供原件掃描件（原件備查）；
如果投標(biāo)人為境外注冊公司，需提供有效的公司登記注冊證明；
The bidder within the customs territory shall provide valid independent legal person business license, tax registration certificate, organization code certificate, or combined certificate and business license. The scanned copy of the original shall be provided during bidding (the original copy for reference) ;
The bidder outside thecustoms territory shall provide valid certificate to prove valid business registration certificate.
B. 投標(biāo)人應(yīng)為本次投標(biāo)所投產(chǎn)品的制造商或者授權(quán)代理商。如果投標(biāo)人是代理商，則須提供制造商有效授權(quán)書；如果投標(biāo)人是制造廠商同一集團負(fù)責(zé)銷售的所投產(chǎn)品的全資子公司、控股子公司（投標(biāo)人應(yīng)提供制造商或其上級公司證明上述事項的證明文件），則視投標(biāo)人為制造商。不能再將此貨物同時授權(quán)給其他投標(biāo)人參與投標(biāo)，否則相關(guān)的所有投標(biāo)將被拒絕。
B. The bidder shall be the manufacturer or agent of the biddingproducts.If the bidder is an agent, a valid Letter of Authority from Manufacturershall be provided.If the bidder is a wholly-owned subsidiary or holdingsubsidiary of the same group as the manufacturer responsible for sales ofthe bidding products, the bidder shall provide relevant evidence documents fromthe manufacturer or its superior company to prove the above matters, and in such case the bidder shall be deemed as the manufacturer. The biddinggoods cannot be authorized to other bidders to participate in this bidding at the same time, otherwise all relatedbids will be rejected.
投標(biāo)文件中提供制造商授權(quán)書的中標(biāo)候選人，應(yīng)在中標(biāo)候選人公示后3個工作日內(nèi)將制造商授權(quán)書原件（簽字或人名章或公章均須為原件，不接受掃描打印文件）送達招標(biāo)人聯(lián)系人進行核驗，對于國外制造商授權(quán)書原件，投標(biāo)人提前準(zhǔn)備以滿足核驗原件期限要求。投標(biāo)文件中提供的制造商授權(quán)書可在制造商官方網(wǎng)站上查詢并核驗一致的或紙質(zhì)投標(biāo)已遞交制造商授權(quán)書原件的，可免于送交原件核驗。核驗結(jié)果不一致的，將按照提供虛假投標(biāo)資料處理；未能在規(guī)定期限內(nèi)提供原件的，將視為不如實提供材料處理。上述兩類情況將取消中標(biāo)候選人資格及中標(biāo)資格，并按照中國海油相關(guān)制度規(guī)定給予禁用等處理。
The winning candidates who provide the Manufacturer's authorization letter in the bidding documents shall deliver the original of the Manufacturer's authorization letter (the signature, personal seal or official seal must all be the original. Scanned or printed documents shall be rejected) to the contact person of the tenderer for verification within 3 working days after the public announcement of the winning candidates. For the original authorization letter from the foreign manufacturer, the bidder should prepare it in advance to meet the deadline requirement for verification of original. The manufacturer's authorization letter provided in the tender documents can be searched and verified on the manufacturer's official website. If the original manufacturer's authorization letter has been submitted in the paper tender, it is not necessary to submit the original for verification. If the verification results are inconsistent, it shall be deemed as providing false bidding materials. Failure to provide the original documents within the prescribed deadline shall be deemed as false provision of materials. The above two types of situations will result in the disqualification of the winning candidate andthe winning bid qualification, and will be dealt with in accordance with the relevant regulations of CNOOC, such as being banned.

（2）資質(zhì)要求 Requirements of Qualification
（3）業(yè)績要求Requirement for Bidder's reference:
****年1月1日至投標(biāo)截止日（以合同簽署時間為準(zhǔn)），本次投標(biāo)產(chǎn)品的制造商在中國境內(nèi)須具有至少1個合同的液相色譜儀供貨業(yè)績，單個合同中至少包含3臺液相色譜儀。
同一集團全球范圍內(nèi)不同制造商（即同一集團旗下的全資子公司或控股子公司或制造工廠）制造的所投產(chǎn)品的業(yè)績，視為所投產(chǎn)品的制造商的業(yè)績；投標(biāo)人應(yīng)提供說明函，說明本次所投產(chǎn)品的制造商與滿足上述業(yè)績要求的產(chǎn)品制造商屬于同一集團。
From January 1 st , ****, to the deadline for submission of the bid (subject to the signing time of the contract), the manufacturer of the products suppliedby the bidder shall have at least onesupply contracts performanceof liquidchromatographswithin P.R.China, of which, eachsupplycontract containsno less than 3sets ofliquidchromatographand each sales contract contains no less than 3setsof liquidchromatographs.
The performance of the products submitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of the products submitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of the products submitted in this bid and the manufacturer of the products meeting the above performance requirements belong to the same group.
投標(biāo)人須按規(guī)定格式提交業(yè)績表，并提交相關(guān)業(yè)績證明文件。業(yè)績證明文件包括：1）銷售合同和2）用戶簽字或蓋章的到貨驗收材料（到貨驗收單或調(diào)試驗收報告或其他可以證明合同項下貨物已經(jīng)到貨驗收的有效證明材料）。投標(biāo)人所提交的業(yè)績證明文件必須至少體現(xiàn)以下內(nèi)容：合同簽署時間、合同簽署頁（國內(nèi)貿(mào)易合同應(yīng)有雙方蓋章，國際貿(mào)易合同應(yīng)有雙方簽字或蓋章）、制造商名稱、裝置名稱、貨物名稱、貨物數(shù)量及用戶簽字或蓋章的到貨驗收材料。
若業(yè)績合同為年度協(xié)議/框架協(xié)議，除提供年度協(xié)議/框架協(xié)議外，還應(yīng)提供相應(yīng)的已到貨訂單，訂單內(nèi)容或編號應(yīng)與年度協(xié)議/框架協(xié)議相關(guān)聯(lián)。同一個年度協(xié)議/框架協(xié)議下提供1個或以上的訂單及與訂單對應(yīng)的到貨驗收材料均算為1個有效業(yè)績。
未提交業(yè)績證明文件，或通過所提供的業(yè)績證明文件無法認(rèn)定滿足上述業(yè)績要求的，均視為無效業(yè)績。
The Bidder shall furnish reference list in given form, and provide corresponding documentary evidence. The documentary evidence shall include 1) copies of sales contractand 2) acceptance evidence of goods deliverysigned or sealed by the user(Arrival acceptance certificate or commissioning acceptance report or other effective materials that can prove the arrival acceptance of goods under the contract). Thereference evidence documents furnished byBidder shall as least demonstrate the content as follows: Date of signing contract, contract signing page(domestic trade contracts should have signatures or seals from both parties, international trade contracts should have signatures or seals from both parties), name of manufacturer, name of the plant, name of goodsandacceptance evidence of goods delivery signed or sealed by the user.
If the performance contract is an annual agreement/framework agreement, in addition to providing the annual agreement/framework agreement, corresponding received orders should also be provided, and the order content or number should be associated with the annual agreement/framework agreement. Providing one or more orders and corresponding acceptance evidenceunder the same annual agreement/framework agreement is considered as one valid performance.
If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.
如果投標(biāo)人是代理商，****年1月1日至投標(biāo)截止時間（以合同簽署時間為準(zhǔn)），投標(biāo)人應(yīng)具有至少1個合同的與本次投標(biāo)同類產(chǎn)品（色譜儀）的供貨業(yè)績，并提供相關(guān)業(yè)績證明文件。業(yè)績證明文件包括但不限于銷售合同復(fù)印件，至少體現(xiàn)以下內(nèi)容：合同簽署時間、合同簽署頁（國內(nèi)貿(mào)易合同應(yīng)有雙方蓋章，國際貿(mào)易合同應(yīng)有雙方簽字或蓋章）、貨物名稱。未提交業(yè)績證明文件，或通過所提供的業(yè)績證明文件無法認(rèn)定滿足上述業(yè)績要求的，均視為無效業(yè)績。
If the bidder is an agent, the biddershallhave at least one sales contractperformance of similarvalvein this bidding(chromatograph)from January 1st, **** to the deadline for submission of the bid (subject to the signing time of the contract), and provide corresponding documentary evidence. The salesperformance documentary evidenceincludesbut not limited to a copy of the sales contract, which should at least reflect the following contents: the date of contract signing, the contract signing page (domestic trade contracts should have signatures?and?seals from both parties, international trade contracts should have signatures or seals from both parties), and the name of the goods.?If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

**. 提示Notes
投標(biāo)人進入開標(biāo)大廳后，需要進行簽到操作，等待開標(biāo)主持人指令。允許解密后，投標(biāo)人點擊解密按鈕進行解密投標(biāo)文件（需解密前在電腦上插入當(dāng)前賬號綁定的CA），輸入正確的CA密碼。（請注意：如投標(biāo)人未在投標(biāo)截止時間/開標(biāo)時間前進行簽到，原則上將無法進行解密，將被視為撤回其投標(biāo)文件。）
The bidder need to sign in and wait for instruction issued by the host after entering the the virtual bid opening hall online. After the decryption is allowed,the bidder click the decryption button to decrypt the bid document(insert the CA bound to the current account on the computer before decryption) and enter the correct CA password.(PS:The bidder will not be able to decrypt in principle and be considered to withdraw the bid documents if fails to sign in before the deadline for the submission of bids or the date of bid opening.)
投標(biāo)文件解密時限為**分鐘。投標(biāo)人未在上述解密時限內(nèi)完成解密視為解密失敗，根據(jù)？電子招標(biāo)投標(biāo)辦法？的規(guī)定，視為投標(biāo)人撤回投標(biāo)文件。
The decryption time limit of the bid documents is ** minutes.It's deemed to fail to decrypt when the bidder fails to decrypt within the given time. Under the circumstances, it's deemed that the bidder withdraw the bid documents according to the regulation of Electronic Tendering and Bidding Methods.
投標(biāo)人對開標(biāo)有異議的，應(yīng)當(dāng)在開標(biāo)現(xiàn)場提出，招標(biāo)人當(dāng)場做出答復(fù)，并制作記錄。未在線上開標(biāo)現(xiàn)場提出的開標(biāo)異議，不予受理。
Any objection to the bid opening raised by the bidder shall be raised at the bid opening site and the tenderee shall answer on the spot and make a record. It’s not accepted that the bidder has not raised objections at the bid opening site online.
