CNCCC International Tendering Co., Ltd. (hereinafter referred to as “the Tendering Agent”), entrusted byCNOOC and Shell Petrochemicals Company Limited(hereinafter referred to as “Tenderee” ), intends to purchase the Goods and the relevant services required under CSPC Huizhou PolycarbonateProjectby International Competitive Bidding. Project Summary：CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Phase 3Ethylene Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

3. 對投標人的資格和業(yè)績要求：

（1）資格要求
Requirements for Qualification of Bidder
A．如果投標人為境內(nèi)注冊公司，投標人需提供合法有效的企業(yè)法人營業(yè)執(zhí)照、稅務登記證及組織機構(gòu)代碼證或證照合一的營業(yè)執(zhí)照，投標時需提供原件掃描件（原件備查）；
如果投標人為境外注冊公司，需提供有效的公司登記注冊證明；
A．The bidder within the customs territory shall provide valid independent legal person business license, tax registration certificate, organization code certificate, or combinedcertificate and business license. The scanned copy of the original shall be provided during bidding (the original copy for reference);
The bidder outside the customs territory shall provide valid certificate to prove valid business registration certificate.
B.投標人應為本次投標所投產(chǎn)品的制造商；如投標人為制造商同一集團負責銷售投標所投產(chǎn)品的全資子公司、控股子公司（投標人應提供制造商或其上級公司證明上述事項的證明文件），則視投標人為制造商。
同一集團全球范圍內(nèi)不同制造商（即同一集團旗下的全資子公司或控股子公司或制造工廠）制造的所投產(chǎn)品的業(yè)績，視為投標人所投產(chǎn)品的制造商的業(yè)績；投標人應提供說明函，說明本次所投產(chǎn)品的制造商與滿足上述業(yè)績要求的產(chǎn)品制造商屬于同一集團。
The bidder shall be the manufacturer of the biddingproducts.If the bidder is a wholly-owned subsidiary or holdingsubsidiary of the same group as the manufacturer responsible for sales ofthe bidding products, the bidder shall provide relevant evidence documents fromthe manufacturer or its superior company to prove the above matters, and in such case the bidder shall be deemed as the manufacturer.
The performance of the products submitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of the products submitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of the products submitted in this bid and the manufacturer of the products meeting the above performance requirements belong to the same group.

E.投標人應提供具有SIL認證的特殊質(zhì)量流量計，用于有SIL等級要求的場合。投標時應出具國務院認證認可的監(jiān)督管理部門或權(quán)威第三方機構(gòu)如Exida、TUV、BV等機構(gòu)提供的特殊質(zhì)量流量計產(chǎn)品的SIL2認證證書。
E. The bidder shall provide a special mass flowmeter with SIL certification for applications that require an SIL rating. At the time of bidding, a SIL 2 certificate for the special mass flowmeter shall be submitted, issued by the certification and accreditation regulatory authority under the State Council or by an authoritative third-party organization such as Exida, TüV, or BV.
（2）資質(zhì)要求Qualification Requirement
A.特種設備證書:投標人本次投標所投特殊質(zhì)量流量計產(chǎn)品的制造商須具有有效的《中華人民共和國特種設備生產(chǎn)許可證》（壓力管道元件）。
A.Special Equipment License:The manufacturer of the special mass flowmeter offered in this bid must hold a valid Special Equipment Manufacturing License of the People’s Republic of China (Pressure Piping Components).
B. 防爆證書:投標人應提供產(chǎn)品的國家授權(quán)防爆認證機構(gòu)頒發(fā)的《產(chǎn)品防爆合格證》。國家授權(quán)防爆認證機構(gòu)包括NEPSI、CQST和PCEC，也包括由國家認證認可監(jiān)督管理委員會授權(quán)的國際權(quán)威認證機構(gòu)，如：IECEx、ATEX等。投標產(chǎn)品的防爆等級不低于Ex db IIC T4 Gb，應根據(jù)危險區(qū)域的等級劃分，選用符合IEC****9標準或GB****標準，具有國家授權(quán)機構(gòu)頒發(fā)防爆合格證的產(chǎn)品。對于應用在粉塵防爆場所，應適合于**區(qū)（Zone **）粉塵防爆場所。
B.Explosion-Proof Certificate:The bidder shall provide a Product Explosion-Proof Certificate issued by a nationally authorized explosion-proof certification body. Authorized bodies include NEPSI, CQST, and PCEC, as well as internationally recognized certification schemes authorized by the Certification and Accreditation Administration of the PRC (CNCA), such as IECEx and ATEX. The explosion-protection rating of the offered product shall be no lower than Ex db IIC T4 Gb. Products shall be selected according to hazardous-area classification and shall comply with IEC ****9 or GB **** standards, and hold an Explosion-Proof Certificate of Conformity issued by an authorized body. For dust-hazardous locations, the product shall be suitable for Zone **.
（3）業(yè)績要求Requirement for Bidder's reference:
****年1月1日至投標截止日（以合同簽訂時間為準），投標人所投產(chǎn)品的制造商在中國境內(nèi)應具有至少1個合同的特殊質(zhì)量流量計供貨業(yè)績，且單個合同中供貨數(shù)量不少于**臺。
同一集團全球范圍內(nèi)不同制造商（即同一集團旗下的全資子公司或控股子公司或制造工廠）的制造業(yè)績，可視為投標人所投產(chǎn)品制造商的業(yè)績；投標人應提供說明函，說明本次所投產(chǎn)品的制造商與滿足上述業(yè)績要求的產(chǎn)品制造商屬于同一集團。
From January 1, **** to the bid submission deadline (as determined by the contract signing date), the manufacturer of the product offered by the bidder shall have at least one contract for the supply of special mass flowmeters within China, with the quantity supplied under that single contract being no less than ** units.
Manufacturing records from different global manufacturers within the same group (i.e., wholly-owned subsidiaries, controlled subsidiaries, or manufacturing plants under the group) may be recognized as the bid product manufacturer's performance. The bidder shall submit a statement letter confirming that the manufacturer of the proposed bid products and the manufacturer meeting the aforementioned performance requirements belong to the same corporate group.
投標人須按規(guī)定格式提交業(yè)績表，并提交相關(guān)業(yè)績證明文件。業(yè)績證明文件包括：1）銷售合同和2）用戶簽字或蓋章的到貨驗收材料（到貨驗收單或調(diào)試驗收報告或其他可以證明合同項下貨物已經(jīng)到貨驗收的有效證明材料）。投標人所提交的業(yè)績證明文件必須至少體現(xiàn)以下內(nèi)容：合同簽署時間、合同簽署頁（國內(nèi)貿(mào)易合同應有雙方蓋章，國際貿(mào)易合同應有雙方簽字或蓋章）、制造商名稱、裝置名稱、貨物名稱、供貨數(shù)量。
若業(yè)績合同為年度協(xié)議，除提供年度協(xié)議外，還應提供相應的已到貨訂單，訂單內(nèi)容或編號應與年度協(xié)議相關(guān)聯(lián)。同一個年度協(xié)議下提供1個或以上的訂單及與訂單對應的到貨驗收材料均算為1個有效業(yè)績。
The bidder shall submit the performance record form in the prescribed format along with relevant supporting documents, which must include:sales contractsanddelivery acceptance materials signed or sealed by the end-user (such as delivery acceptance forms, commissioning acceptance reports, or other valid documentation proving goods acceptance under the contract);all submitted proof documents must contain at minimum:the contract signing date, executed signature pages (with both parties' official seals for domestic contracts, or signatures/seals for international contracts), manufacturer's name, plant/installation name, description of supplied goods, and supplied quantity.
If the performance contract is an annual agreement, in addition to providing the annual agreement, corresponding received orders should also be provided, and the order content or number should be associated with the annual agreement. Providing one or more orders and corresponding acceptance evidenceunder the same annual agreement is considered as one valid performance.
未提交業(yè)績證明文件，或通過所提供的業(yè)績證明文件無法認定滿足上述業(yè)績要求的，均視為無效業(yè)績。
If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.
